1.4 These Terms and Conditions are effective from 01-july-2014. The Terms and Conditions may change from time to time, but changes will only be effective from the date they are made and will not change the terms on which you previously used the Service.
1.5 The Service was created to assist Nigerians desirous of an easy way to top up their mobile phones at any time of the day without limitations and also giving the customer the benefits of enjoying from the profit of their top-ups.
2.1 DESCRIPTION OF SERVICE
Maglev integrated Nigeria Ltd, the owners and operators of handy top –up application and handytopup.com website, provides users with access to a collection of resources, including, various communications tools and personalized content (the "Service"). Handy top-up currently provides users with the ability to buy and send mobile phone top-up at their convenience through the internet, and in the near future, utility bill payment and money transfer. You understand and agree that the Service is provided "AS-IS" and that handy top-up assumes no responsibility for the miss-delivery or failure to complete any transaction initiated by you. You are also responsible for any additional charges over and above the gateway access charges associated with your transaction, the access may involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the Service. You will be required to acknowledge you have read and understand the handy top-up policy by registering your acknowledgment through the handy top-up application and handytopup.com website
2.2 REGISTRATION.
In consideration of your use of the Service, you agree to provide true, accurate, current and complete information about yourself as prompted by the Service's registration system (such information being the "Registration Data"). If you provide any information that is untrue, inaccurate, not current or incomplete, or HANDY TOP-UP has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, handy top-up has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). If you are under the age of eighteen (18), handy top-up requires you to gain permission to register and use the service from a parent or guardian. Should you be under eighteen (18) and these TOS are wrongfully accepted without a parent or guardians permission, it is taken that the TOS will still apply as would ordinary transactions, freely chosen, in ordinary market conditions.
3 OUR OBLIGATIONS.
3.1 Subject to these Terms and Conditions, we agree to provide the Service to you using reasonable care. The Service may not be available in whole or in certain parts of the country without gsm coverage or jurisdictions.
3.2 We are not obliged to process any particular Transaction. When you submit a Transaction, you are requesting that we process the Transaction on your behalf. We may, in our sole discretion, choose whether or not to accept the offer to process that Transaction. However, if for reasons beyond our control we could not complete your transaction we shall only refund you the exact amount taking out from you if deductions were already made.
3.3 handy top-up reserves the right to modify or discontinue the service or any part of the Service without notice, at any time and from time to time. We may, in our absolute discretion, refuse any Transaction or limit the number of people a registered user can have, either on a per transaction basis or on an aggregate basis.
3.4 We may, in our sole discretion, refuse Transactions from certain people or to certain Recipients, including but not limited to entities and individuals on restricted or prohibited lists issued from time to time by the Nigerian Government.
3.5 We will attempt to process Transactions promptly, but any Transaction may be delayed or cancelled for a number of reasons including but not limited to: our efforts to verify your identity; to validate your Transaction instructions; or otherwise to comply with applicable law; or due to network problem arising from third party.
3.6 We will attempt to provide Senders and Recipients with up to date information regarding the location and opening hours of our Service Providers by means of information on our website. However, you agree that handy top-up shall not be held responsible for any inaccuracies that may appear in that information or any consequential loss which may result from incorrect or incomplete information.
4. YOUR OBLIGATIONS AND USER CONDUCT
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not handy top-up, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Service. What you cannot use the Service for:
4.1 You must not use the Service, attempt to use the Service or allow the Service to be used in any way:
4.2 Breach of law - which results in you or handy top-up breaching, or being involved in a breach of a law, order or regulation (including a foreign law, order or regulation), a mandatory code of conduct; or a voluntary code of conduct that you have agreed to comply with;
4.3 Damage to property or people - which results, or could result, in damage to property or injury to any person;
4.4 To harass, menace or stalk people;
4.5 To defame or slander any person, or infringe upon any person's privacy rights;
4.4 Protection of minors - which harms minors in anyway, which enables a minor to access material inappropriate for a minor or to establish (or try to establish) contact with a minor not otherwise known to you;
4.6 Discrimination - which unlawfully incites discrimination, hate or violence towards one person or group, for example because of their race, religion, gender or nationality;
4.7 Obscene, defamatory, offensive, abusive - to send, display or be otherwise involved in material which is harassing, libelous, defamatory, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind or nature; which is, or which would be considered by a reasonable person to be, offensive or abusive;
4.8 Illegal business practices and gambling - to engage in any misleading or deceptive business or marketing practice;
4.9 That involves providing or promoting illegal pyramid selling schemes or unlawful gambling or gaming activities;
4.10 That you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
4.11 That infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
4.12 That intentionally or unintentionally violates any applicable local, state, federal or international law, including, but not limited to, regulations promulgated by the Nigeria Government;
4.13 The rights of others - which infringes handy top-up or any other person's rights (including intellectual property rights and moral rights);
"Stalk" or otherwise harass any person.
4.13.1 which constitutes a misuse of handy top-up or any other person's confidential information; or
4.13.1Which results in a breach by you of any obligation that you owe to any person
4.14 What you cannot use the service to do:
4.14.1 You are not authorized to access handy top-up computer systems or networks for any purpose other than to use the Service in accordance with these TOS.
You must not:
4.15 Interfering with services and systems - interfere with the proper operation of the Service or any other part of handy top-up systems;
4.15.1 Newsgroups, forums and chat-rooms - use the Service to contribute to, or participate in, a Newsgroup, forum or chat room in a way that has an adverse effect on the proper operation of those Newsgroups, forums and chat rooms.
You must not use the Service, attempt to use the Service or allow the Service to be used:
4.15.2 Commercial Messages - to send, or cause to be sent a commercial electronic message without prior opt-in.
4.15.3 To send, or cause to be sent a designated commercial electronic message without prior opt-in.
4.15.4 To engage in eMarketing activity without prior opt-in.
Virus, denial of service attacks - in connection with any program (including a virus, Trojan horse, worm, cancelbot, time bomb), or activity (including a Denial of Service attack), that is designed 4.15.5 To provide or allow any form of unauthorized control of, or result in an adverse effect on, a computer, a network or data (whether the computer, network or data is handy top-up's or anyone else's);
4.15.6 Open relay and port probing - to access or use handy top-up's or anyone else's systems, networks or data (including through open relay, port probing and the use of packet sniffers) without consent, regardless of whether or not such access or use has any adverse effect on the system, network or data;
4.15.7 Impersonating - to impersonate any person or entity, including, but not limited to, a handy top-up official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
4.15.8 To create or alter in any way and by any means, the contents of an electronic message for the purpose of making the message appear to come from someone other than you, handy top-up, or the relevant electronic account-holder; or
4.15.9To create the contents of an electronic message making the message appear to come from someone other than you, where you are not a user authorized to send that message on behalf of the relevant electronic account-holder.
4.16 You will not allow anyone else access to your registration details, and will keep those details secure;
4.17 You cannot refuse to provide confirmation of any information you provide to us, including proof of identity, or refuse to co-operate in any investigation;
4.18 You cannot use an anonymising proxy (a tool that attempts to make activity untraceable); or
4.19 Copy or monitor our website using any robot, spider, or other automatic device or manual process, without our prior written permission.
5. CANCELLATION AND REFUNDS
5.1 If you have any problems using the Service you should contact us through the channels listed at the end of this Terms and Conditions.
5.2 You have the statutory right to cancel a transaction before it is submitted for payment processing, Otherwise if the process have gone through the payment processor, there will be no refund.
5.4 Any refunds will be credited back to the same Payment Instrument used to fund the Transaction and in the same currency. No adjustment will be made for any currency fluctuations which may have occurred in the meanwhile.
6. USE OF HANDY TOP-UP CONDUCT
You acknowledge that handy top-up and its designees:
6.1 Are not required to, but may, screen and filter Content or freeze your account in order to monitor compliance with the TOS.
6.2 Shall have the right (but not the obligation) in their sole discretion to refuse any Content or sale that is available via the Service.
6.3 Without limiting the foregoing, shall have the right to remove any Content or account that violates the TOS or is otherwise objectionable.
6.4 You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. 6.5 You understand that the technical processing and transmission of the Service, including your Content, may involve:

All right, title and interest in and to the handy top-up application and Online Site and the handy top-up Online Service shall remain our property and/or the property of such other third parties.
7.2 The handy top-up website and the handy top-up Service may be used only for the purposes permitted by these Terms and Conditions or described on this website. You are authorized solely to view and to retain a copy of the pages of the handy top-up website for your own personal use. You may not duplicate, publish, modify, create derivative works from, participate in the transfer or sale of, post on the internet, or in any way distribute or exploit the handy top-up application and the website, their Service or any portion thereof for any public or commercial use without our express written permission. 7.3 You agree to indemnify and hold handy top-up, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another.
8. WARRANTIES AND LIABILITY

any material obtained through the use of the service is done at your own discretion and risk and that you will be solely responsible for any damage to your mobile telephone or loss of data that results from the download of any such material.
no advice or information, whether oral or written, obtained by you from handy top-up or through or from the service shall create any warranty not expressly stated in the TOS.
8.1 We will refund to you any benefit which we receive as a result of any breach of our agreement with you (this means that, for example, where handy top-up has permanently failed in such circumstances we will refund to you the exact amount deducted for the).
8.2 If a top-up is delayed or fails, you may have a right to receive a refund or compensation under laws relating to the provision of Nigeria communication laws. We will provide you with the details of your rights to a refund or compensation if you contact us using the contact details at the end of this agreement.
8.3 We do not, in any event, accept responsibility for:
8.3.1 malfunctions in communications facilities which cannot reasonably be considered to be under our control and that may affect the accuracy or timeliness of messages you send to us;
8.3.2 any losses or delays in transmission of messages arising out of the use of any internet service provider or caused by any browser or other software which is not under our control;
8.3.3 errors on the website or with the Service caused by incomplete or incorrect information provided to us by you or a third party.
8.4 Your relationship is with handy top-up only. You agree that no affiliate or agent of handy top-up owes you any duty of care when performing a task which would otherwise have to be performed by handy top-up under its agreement with you.
8.5 You agree to indemnify and hold harmless handy top-up, our subsidiaries, affiliates, officers, directors, employees, agents, independent contractors, advertisers, partners, and co-branders from all loss, damage, claims, actions or demands, including reasonable legal fees, arising out of your use or misuse of this website or Service, all activities that occur under your password or account e- mail login, your violation of this Terms and Conditions or any other violation of the rights of another person or party.
9. NOTICE
Notices to you may be made via either email or regular SMS. The Service may also provide notices of changes to the TOS or other matters by displaying notices or links to notices to you generally on the Service.

11. GENERAL INFORMATION
The TOS constitute the entire agreement between you and handy top-up and govern your use of the Service, superseding any prior agreements between you and handy top-up. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or third-party software. The TOS and the relationship between you and handy top-up shall be governed by the laws of Nigeria without regard to its conflict of law provisions. You and handy top-up agree to submit to the personal and exclusive jurisdiction of the courts located within Nigeria. The failure of handy top-up to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect. You agree that regardless of any regulation or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred. Any disputes arising as a consequence of this agreement shall be determined in accordance with the Nigerian law and the non-exclusive jurisdiction of the Nigerian Court.
The ability to receive text messages to Your mobile phone is dependent on individual mobile operator agreements and subscriptions.
You will be required to contact your service provider to confirm receipt of payment through this service. It is therefore important to note that your service provider or participating bank by virtue of being listed on this website have signed a 3rd party agreement with our switching partners and handy top-up only offers a convenience service promoting this 3rd party agreement.
12. HANDY TOP-UP SECURITY AND PRIVACY POLICY

13. PRODUCTS
All products and services mentioned in this site are subject to availability and are available at the sole discretion of MAGLEV INTEGRATED NIG LTD. Furthermore, all references to HANDY Top-Up products and services are intended to apply worldwide.
All products are offered for sale to every one that access this site in accordance to the laws of Nigeria, at the prices shown, with orders being placed on-line. All invoices for orders are delivered to the email address registered on HANDY Top-Up, mobile phones registered or logged and through 3rd party service providers the user is registered with. We endeavor to advise on the status of your transactions in real time for all products offered. We endeavor to deliver orders within 24 hours of purchase. In the event that products are out of stock and that we do not expect to be able to dispatch them to you within 24 hours of your order, we will contact you for further instructions however please do not hesitate to contact us at help@handytopup.com.
14. COMMISSIONS AND BANK CHARGES
Where a charge is payable, this is indicated on the 'Top Up Order Summary' page. The charge will be added to the amount debited to your card account or HANDY TOP-UP Account.
15. VALUE ADDED TAX (VAT) PAYMENT
VAT is added to the final value of all products that are enjoyed in the territory where we pay tax and is listed on the 'Top Up Order Summary' page.
16. ORDERING AND PAYMENT
When you place an order with us from either the mobile application or our web site, you are making an agreement to purchase from us and promising that payment will be made to us through your handy Top-Up account credit (if registered). Do not commit to a transaction unless you are ready to pay, because all sales are final. In the event that payment is revoked after dispatch, we reserve the right to take the necessary steps to recover payment from you.
17. SECURITY
We take security very seriously at handy top-up, and we work hard, using state-of-the-art security measures, to make sure that your information remains secure. The handy top-up Service is a safe and convenient way to top up your mobile phone. If you are aware of anyone or any entity that is using the Service inappropriately, please email us using our contact form. Similarly, if you receive any emails, purporting to be from handy top-up, which you suspect may be "phishing" (fake) emails, please forward them to us using our contact form at the end of the TOS.
For your security, Handy Top-up does not process payment for orders and does not hold any credit or debit card details. To address any card security issues please contact your payment card provider.
18. EVENTS OUTSIDE OF TOPUPNIGERIA'S CONTROL
We shall not be liable for any delay in performing or failure to perform any obligation hereunder by circumstances beyond our reasonable control including (without limitation) any technical problems beyond the control of HANDY TOP-UP such as (for example) inserting the wrong mobile number, wrong account number, wrong billing reference number, defects, congestion or failures of capacity or otherwise in the public data or telephone or mobile telephone network or caused by atmospheric interference or bank servers downtime, Your mobile being turned off for an extended period of time so that messages are not retained or Your being unable to obtain mobile network coverage.
19. DISPUTES AND REVERSALS
If you believe that an unauthorized or otherwise problematic transaction has taken place under your account, you agree to notify us immediately, so that we may take action to prevent financial loss.
To the fullest extent permitted by law, you waive all claims against us related to payments unless you submit the claim to us within 30 days after the charge.
You are responsible for and agree to reimburse us for all reversals, charge-backs, claims, fees, fines, penalties and other liability incurred by us (including costs and related expenses) that were caused by or arising out of payments that you authorized or accepted.
Your only remedy for a technical failure or interruption of service is to request that your transaction be completed at a later time.
20. ELECTRONIC COMMUNICATIONS
20.1 You acknowledge that this Terms and Conditions shall be entered into electronically, and that the following categories of information ("Communications") may be provided by electronic means:

21. COMPLAINTS
21.1 If you wish to make a complaint about any aspect of the HANDY TOP-UP service, please send your complaint in writing to the address shown on the Contact Us page or by email to customerservice@handytopup.com.
21.2 We will acknowledge receipt of your complaint within 2 business days. We will investigate your complaint and come back to you with the results of our investigation no later than 7 business days of receipt of your complaint. If you are not satisfied with the manner in which our staff dealt with your complaint, or the outcome, then you may refer the complain to the MD CEO ON ….
22. GENERAL
22.1 Governing law: this Agreement will be governed by Nigerian law and the parties submit to the exclusive jurisdiction of the Nigerian Courts.
22.2 No Waiver: The failure of handy top-up to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision.
22.3 Modification: We may modify this Terms and Conditions from time to time without notice to you, except as may be required by law. You can review the most current version of the Terms and Conditions at any time by reviewing this website. You may terminate your use of the Service if you do not agree with any modification or amendment. If you use the Service after the effective date of an amendment or modification, you shall be deemed to have accepted that amendment or modification.
